One Belt, One Road

We advised China National Materials Company Limited (1893.HK) (Sinoma) on its merger with China National Building Material Company Limited (03323.HK) (CNBM), an unprecedented merger by way of share-exchange in the history of pure H-share listed companies.

The merger is part of the Chinese government’s plans to consolidate production domestically and refocus its industries internationally, following the ‘One Belt, One Road’ initiative. Once combined, it will manage 100 plants in countries covering the ‘One Belt, One Road’ region in three-to-five years, including countries in Africa and the Middle East.

Global reach

We advised a consortium comprising Qumei Home Furnishing Group and Huatai Zijin Investment on the US$631 million public takeover of Ekornes, the largest furniture manufacturer in the Nordic region.

The transaction has required advice across multiple jurisdictions including China, Norway, Thailand, Germany, Vietnam, Luxembourg and the United States, and showcases DLA Piper’s outstanding global capabilities. Our team included lawyers based in Shanghai, Beijing, Hong Kong, Oslo, Luxembourg, Singapore, New York and Hamburg.
